Job description

Reporting to the Chief Legal Officer and Corporate Secretary, the incumbent acts as senior legal counsel in securities, corporate transactions, corporate governance, and continuous disclosure. They play a strategic role with senior management and the board of directors regarding regulatory obligations, best governance practices, and the organization's corporate operations.

The incumbent also contributes to the smooth operation of the corporate secretariat, including preparing board and committee meetings, coordinating continuous disclosure obligations, and maintaining corporate records.

The position requires a high level of autonomy, judgment, rigor, and the ability to manage complex files in a dynamic environment.

  • Assume an expert role in securities, transactions, governance, and disclosure for all files under their purview.
  • Establish connections with all stakeholders to successfully carry out all files under their responsibility in alignment with the business priorities and strategic planning of the company.
  • Demonstrate strategic judgment by evaluating files in light of organizational objectives, risks, business interdependencies, and stakeholder expectations, to guide decision-making in a concrete, pragmatic, and results-oriented manner.
  • Act as assistant corporate secretary for the board of directors of Transat A.T. and its committees and other non-Quebec committees, as well as its subsidiaries.
  • Ensure analysis and monitoring of various transactions related to their field of expertise and provide leadership in handling AMF and TSX files and all securities reporting.
  • Prepare calendars, agendas, resolutions, minutes, and documents intended for the board and committees.
  • Ensure the updating of corporate books and statutory registers.
  • Advise and provide legal opinions in corporate law, securities law, and corporate governance to ensure compliance with applicable regulatory obligations with Canadian securities authorities and the Toronto Stock Exchange.
  • Certify regulatory filings and ensure compliance with disclosure schedules.
  • Act as expert advisor for financings, strategic operations, acquisitions, corporate reorganizations, and other special transactions, notably by supporting due diligence and drafting and negotiating commercial agreements and related legal documents, in collaboration with the Finance and Treasury teams.
  • Support the planning and organization of annual shareholder meetings.
  • Advise senior management and the board on best practices in corporate governance and participate in the development and updating of corporate policies and governance charters.
  • Direct all processes related to the continuous improvement of the legal department and corporate secretariat processes.
  • Supervise and develop more junior members of their team.

Qualifications

  • Undergraduate degree in law
  • Member of the Barreau du Québec
  • Minimum of 10 years of relevant experience in securities, corporate governance, and corporate secretariat
  • Significant experience within a public company and/or a recognized national firm,
    • excellent knowledge of Canadian securities laws, TSX requirements, and governance best practices;
    • experience in preparing and reviewing continuous disclosure documents and board of directors documents
  • Excellent drafting, analytical, and communication skills
  • Pragmatic approach, sound judgment, and high professional rigor;
  • Ability to effectively manage multiple priorities in a dynamic environment, with rigor and autonomy.
  • High level of discretion and professionalism
  • Excellent command of MS Office tools (Word, Excel, PowerPoint) and demonstrated ease with collaborative digital tools and AI (e.g., Copilot).
  • Knowledge of Workiva and Diligent Board software, an asset
  • Oral and written proficiency in French and English*. Knowledge of Spanish, an asset.

*A good command of French is required for positions in Quebec. The incumbent will need to communicate frequently in English, orally and in writing, with colleagues, clients, or other stakeholders, both in Quebec and internationally.
